These Terms of Service ("Terms") govern your use of our subscription-based software development services ("Services"). By subscribing to our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Subscription Service

ForgeLink offers a productized subscription service that provides ongoing software development for a fixed monthly price. With your subscription, you can add or edit as many tasks as you need in your project queue. We will compile your tasks into weekly "Sprints," which will be completed by our team within the same week.

Single Active Project: You may have only one active project at a time under your subscription. Once a project is completed, you may begin a new project. If you require multiple projects to be developed simultaneously, you will need to purchase additional subscriptions.

New Development Only: We do not work on existing codebases due to potential technical debt and the time required to familiarize ourselves with another developer's code. All projects must start from scratch and be built by our team.

Sprints and Task Management

Our subscription model is built around task-based sprints. Tasks will be grouped into sprints and completed each week. Once a task is finished, it will move into the "Review" phase, where you can verify the quality of the work. Tasks are considered completed once they pass the review stage.

You are responsible for providing clear and detailed task descriptions to ensure accurate and efficient development. Please note that we do not guarantee any specific number of tasks or features per sprint, as this will depend on the complexity and scope of each task.

Payments and Pricing

By subscribing to our Services, you agree to pay the fixed monthly fee associated with your chosen plan. Payments will be automatically charged on a recurring basis until your subscription is canceled.

All payments must be made in advance, and your subscription will not begin until payment is successfully processed. ForgeLink reserves the right to change its subscription fees at any time; however, any changes will only apply to future billing cycles and will not affect your current subscription period.

Refund Policy

Due to the high-quality nature of the work we provide, ForgeLink has a strict no-refund policy. Once a task is active and work has started, refunds will not be issued under any circumstances. Please carefully consider your commitment before activating tasks.

Project Cancellation and Termination

You may cancel your subscription at any time. If you cancel, your subscription will remain active until the end of the current billing cycle, after which it will not renew. Cancellation does not entitle you to a refund for any unused portion of the subscription period.

ForgeLink reserves the right to suspend or terminate your subscription and access to the Services at any time, without prior notice, if you breach these Terms or engage in any unlawful activity.

Intellectual Property

All code, designs, and deliverables produced by ForgeLink during the course of the project will be the intellectual property of the client once full payment is received. Until such time, ForgeLink retains ownership of the intellectual property. We do not claim any rights over the original ideas or concepts provided by the client.

Confidentiality

ForgeLink understands the sensitive nature of your business and will treat all project-related information as confidential. We agree not to disclose any confidential information to third parties, except as required by law or with your explicit consent.

Limitation of Liability

To the fullest extent permitted by law, ForgeLink shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including but not limited to loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.

In no event shall ForgeLink's total liability to you for any damages, losses, and causes of action exceed the amount paid by you for the Services during the six months preceding the event giving rise to the claim.

Dispute Resolution

In the event of any disputes arising out of these Terms or the use of our Services, you agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the rules of AAA, and the decision of the arbitrator will be final and binding.

Changes to These Terms

ForgeLink may modify these Terms at any time. Any changes will be effective immediately upon posting on our website. We encourage you to review the Terms periodically. Continued use of our Services after changes to the Terms constitutes your acceptance of the new Terms.
